1. User Content

You retain all ownership rights to your User Content. However, by submitting User Content, you grant the ikosystem a worldwide, non-exclusive, royalty-free license to host, store, transmit, modify, publish, distribute, and use your User Content for the purposes of operating and improving the platform. You are solely responsible for your User Content and the consequences of its submission. You represent and warrant that your User Content does not violate any third-party rights or applicable laws.

2. Governing Law and Dispute Resolution

This User Agreement shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of laws provisions. Any dispute arising out of or relating to this User Agreement shall be resolved by binding arbitration in Kenya in accordance with the rules of Chartered Institute of Arbitrators (CIArb), Kenya.

3. Intellectual Property Rights

All content on Ikosystem, including but not limited to text, graphics, logos, images, and platform, is the property of Ikosystem or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws. You may not use, reproduce, distribute, or display any content without our prior written permission.

4. Prohibited Activities

You agree not to engage in the following prohibited activities on Ikosystem:

• Selling counterfeit or unauthorized goods.
• Spamming, phishing, or sending unsolicited messages.
• Uploading or transmitting any viruses, malware, or harmful code.
• Engaging in any activity that violates any applicable law or regulation.
• Impersonating another person or entity or misrepresenting your affiliation with any person or entity.

5. Indemnification

You agree to indemnify, defend, and hold harmless Ikosystem, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your use of the website, your violation of this User Agreement, or your violation of any rights of another.

6. Limitation of Liability

To the fullest extent permitted by law, Ikosystem shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use of or inability to use the website;
• Any unauthorized access to or use of our servers and/or any personal information stored therein;
• Any interruption or cessation of transmission to or from the website;
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our website by any third party;
• Any errors or omissions in any content;
• Any defamatory, offensive, or illegal conduct of any third party.

7. Amendment

The Ikosystem reserves the right to amend this User Agreement at any time by posting a revised version on the platform. Your continued use of the platform after the posting of a revised User Agreement constitutes your acceptance of the revised User Agreement.

10. Business Listings and Verifications

The Ikosystem strives to list only legitimate businesses registered by the relevant authorities in the countries and territories it operates in. However, we cannot guarantee the accuracy or completeness of the information provided by businesses. You are solely responsible for exercising your own judgment and due diligence when dealing with any business listed on the Platform.
